A company power of attorney is used by the shareholders of a company to permit another person to manage the affairs of a company. Powers such as running the day-to-day operations of the company, signing contracts and other documents, representing the company before government departments, appointing and terminating employees of the company, managing the bank account of the company etc. can all be assigned to an authorised person by a company POA. 

It is not necessary that the authorized attorney should be an employee of the company, as anyone can act as an attorney under a company POA.

  • E-Notarized POA shall be issued in Arabic only by email from the Court. Should you require it in English and in Arabic format, a bilingual e-notarization fee of AED 199 shall apply.

Below are the advantages of a company power of attorney in United Arab Emirates:  

  • A company power of attorney can be used to manage the operations of a company in the absence of the shareholders.
  • A company power of attorney provides freedom to the shareholders to choose the person who will be making the decisions on behalf of the company. The person can either be an employee of the company or a third party.
  • Shareholders of a company have the option of choosing the degree of assignment of the operations. Shareholders can either assign the complete operations of the company, or they can only delegate a few functions.
  • A company POA puts the minds of the owners of the company at ease. There is always someone who will be performing the tasks as per the explicit wishes of the company owners.
  • Different powers of a company can be assigned by way of a single document.
  • A company POA is a single document that is accepted by all UAE banks, government departments and utility services. Based on the company POA, the authorized attorney will be able to smoothly carry out all company transactions.
  • The powers given under a company power of attorney can be taken back at any point of time by revoking the POA.
 

Signing Process

The process for signing and notarization depends on whether a company power of attorney is signed inside or outside of the United Arab Emirates.

Option 1: Company POA is signed in UAE and is used in UAE

In the emirate of Dubai, Abu Dhabi, Sharjah, Ras Al Khaimah, Fujairah, Ajman or Um Al Quwain, the parties have the option of signing the company POA before notary public. A notarized company POA is accepted in the whole UAE.

Online Notarization (Dubai)

The Dubai notary public provides a service wherein a company POA can be notarized online by using the BOTIM mobile application. A company POA can be notarized in the following manner:

  • An e-mail must be sent to the official e-mail id of the Dubai notary public with a copy of the final company power of attorney and valid identification cards of the principal and agent. The mobile number of the principal (subscribed to the BOTIM app) should be mentioned in the body of the email.
  • A video call will be organised by the Dubai notary public. In this video call, the notary public will verify the respective identities of the principal and the agent and approve the POA.
  • The final stamped company power of attorney will be issued by the notary public. The POA can be collected by the principal or agent from the office of the notary public.

Online Notarization (Abu Dhabi)

The Abu Dhabi Judicial Department (ADJD) also offers online notary public services, where company POA can be online notarized without having to visit offices of ADJD. A company POA can be notarized online by taking the following steps:

  • The final bilingual (English and Arabic) copy of the company POA is uploaded on the ADJD website with the identification cards of the principal, agent and the legal translator.
  • ADJD upon approving the POA will send the payment link for payment of the government fees.
  • After the payment of the government fees, ADJD will hold a video call to verify the identities of the principal and the agent.
  • ADJD will send you a digitally signed copy of the company POA, which for all purposes is treated as the original of the POA.

Option 2: Company POA is signed outside UAE and is used in UAE

A company POA can also be signed before the notary public in your country of residence. However, to be validly accepted in the UAE the company power of attorney has to be attested by all of the below departments:

A company power of attorney can be signed before the notary public of any emirate in the UAE. Thereafter, the company POA will be attested by the Ministry of Foreign Affairs in UAE and the embassy / consulate of the company where the company POA will be used.
